Dear Mr. Meyer:

This letter responds to the "Application for Approval of Proposed Divestiture of Exxon Jet Turbine Oil Business" that you filed on May 17, 2000 ("Application"), and to the supplemental materials that you filed on December 1, 2000 ("Supplement"), both of which were filed on behalf of Exxon Mobil Corporation ("Exxon Mobil") and which concern the divestiture to BP Exploration & Oil Inc. of assets that Exxon Mobil is required to divest pursuant to Paragraph XII. of the Decision and Order in the above matter.

After consideration of the proposed divestiture as set forth in the Application, the Supplement, and other materials, the Commission has determined to approve the Application. In according its approval, the Commission has relied upon the information submitted and representations made in connection with the Application and has assumed them to be accurate and complete.
