This letter responds to the Application for Approval of the Â鶹´«Ã½ Trade Commission to Divest Texaco Refining and Marketing Inc. (the Equilon and Motiva Interests) to Shell Oil Company and Saudi Refining, Inc. (the "Application") that you filed on behalf of ChevronTexaco Corporation.

After consideration of the Application and other available information, the Commission has determined to approve the Application. In according its approval, the Commission has relied upon the information submitted and the representations made in connection with the Application and has assumed them to be accurate and complete.
