Dear Mr. Chung:

This letter responds to the Petition of ChevronTexaco Corporation ("ChevronTexaco") for Approval of Proposed Divestiture of Its Interest in the Discovery System ("Petition"), dated March 8, 2002, filed by ChevronTexaco. Pursuant to the order in FTC Docket No. C-4023, ChevronTexaco requests prior Commission approval of its proposal to divest its interest in the Discovery System to Duke Energy Field Services LP.

After consideration of the Petition and other available information, the Commission has determined to approve the Petition. In according its approval, the Commission has relied upon the information submitted and the representations made in connection with the Petition and has assumed them to be accurate and complete.

By direction of the Commission, Chairman Muris not participating.
